I. Incorporation of foreign-funded enterprises

Foreign-funded enterprises contain wholly foreign-owned enterprise and Sino-foreign joint venture

Wholly foreign-owned enterprise refers to the enterprise whose registered capital is from overseas enterprises or individualsSino-foreign joint venture refers to the enterprise whose registered capital is jointly contributed by overseas enterprises or individuals and domestic enterprises or individuals

Handling process:

01◆ Preparing verseas notary and certification documents;

02◆ Company name pre-approval;

03◆ Writing company establishment registration documents;

04◆ Preparing company bylaws;

05◆ Registration address (providing copy of property title certificate affixed with official seal of the title owner);

06◆ Stamp carving (official seal, financial seal, contract seal, special seal for invoice, name seal);

07◆ Registration in commercial departments; 

08◆ ODI foreign exchange registration filing

Handling time: 20-50 workdays

II. Change of foreign-funded enterprises

Scope of business:

01◆ Change in company name;

02◆ Change in company name;

03◆ Change in scope of business;

04◆ Change in registered address;

05◆ Change in legal representative (person in charge), director, supervisor and manager;

06◆ Equity change;

Handling time: 15-60 workdays

III. Cancellation of foreign-funded enterprises

Cancellation process:

01◆ Preparing application for cancellation registration;

02◆ Resolution or decision made in accordance with the Company Law of the People’s Republic of China, Law of the People's Republic of China on Chinese-Foreign Joint Ventures, Law of the People’s Republic of China on Chinese-Foreign Equity Joint Ventures, and Law on Foreign-funded Enterprises of the People’s Republic of China, as well as the company bylaws;

03◆ Cancellation approval of original approval organ;

04◆ Liquidation report filed and confirmed according to law;

05◆ Returning certificates such as business license;

06◆ Returning official seals, etc.

Handling time: 30-90 workdays
