Overseas investment refers to the behavior of enterprises incorporated in the People’s Republic of China according to law (hereinafter referred to as “enterprises”) to own overseas non-financial enterprises or acquire ownership, control right, operation and management right as well as other rights of existing overseas non-financial enterprises. Enterprises that launch overseas investment shall be self-deciding and self-financing.
refers to the financing method that domestic enterprises provide direct loan to fully-owned affiliated enterprises or shareholding enterprises incorporated legally overseas according to amount, interest rate and term agreed in the contract within the approval limit. Overseas loan may be issued by means of entrusted loan through designated foreign exchange banks and financial companies of enterprises incorporated upon approval and with foreign business qualification.
Red chip architecture
The concept of red chip was initiated from Hong Kong Stock Market in early 1990s. China sometimes is called red China internationally. Correspondingly, Hong Kong and International investors call stocks of concept of mainland China registered overseas and listed in Hong Kong “red chip shares stocks”.
VIE Architecture
Definition of special purpose company: (No. 37 Document) the special purpose company (SPC) refers to overseas enterprise incorporated directly or indirectly controlled by domestic resident legal person or domestic resident natural person with the assets or equity of domestic enterprise for the purpose of overseas equity financing (including convertible bond financing).
Round-trip investment
Round-trip investment refers to directly domestic investment activities carried out by domestic residents through SPC, including but not limited to purchasing or replacing Chinese side equity of domestic enterprises, incorporating foreign-invested enterprises in the country and purchasing or controlling domestic assets under agreement through the enterprise, purchasing domestic assets based on agreement and investing in foreign-invested enterprises and adding assets to domestic enterprise with such assets.
